(referred to as “FINT”, "Company," "us," "our," or "we") provides the www.fint.ng site (“Site”) and reserves the right to make changes to this website and to these Terms of Use at any time without prior notice. You should review these Terms of Use each time you access this website.

  1.  About Us

    FINT is a technology solutions company which provides a range of online services including, FINT, an online debt financing marketplace for the facilitating of personal and business loans.

  2.  The Agreement

    These Terms of Use is an agreement between you and us. It details our obligations to you. It also governs your use of our Site and all our services available on our site. It highlights certain risks on using our services and you must consider such risks carefully as you will be bound by the provision of this agreement through your use of this website or any of our services.

  3.  Registration

    To access certain features on the Site, you may be required to provide personal and/or demographic information as part of the registration process. You agree to provide true, accurate, current and complete information about yourself as prompted by the applicable registration and you are responsible for keeping such information up-to-date (this includes your contact information, so that we can reliably contact you). Also, you are to protect the confidentiality of your account password as we are not liable for any loss or damage arising from your failure to protect your password or account information.

  4.  User Representation

    You represent, warrant and agree that no materials of any kind submitted through your account or otherwise posted or shared by you through the Service will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libellous, defamatory, fraudulent or otherwise unlawful material. You further agree not to collect email addresses or other contact information of Users from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications. Additionally, you agree not to use automated scripts to collect information from the Service or the Site or for any other purpose. You further agree that you may not use the Service or the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Site. In addition, you agree not to use the Service or the Site to:

    1.  upload, post, transmit, share, store or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable;
    2.  register for more than one User account, or register for a User account on behalf of any group or entity.
    3.  impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with or authority to act on behalf of any person or entity;
    4.  upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
    5.  upload, post, transmit, share, store or otherwise make publicly available on the Site any private information of any third party, including, without limitation, addresses, phone numbers, email addresses and credit card numbers;
    6.  upload, post, transmit, share or otherwise make available any material that contains software viruses or any other malicious or tracking computer code, files or programs designed to track, interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or any information that infringes the intellectual property rights of others;
    7.  intimidate or harass another User;
    8.  upload, post, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any state, national or international law;
    9.  use or attempt to use another's account, service or system without authorization from that person and the Company, or create a false identity on the Service or the Site.
  5.  Age Restriction

    In order to register for our Services, you represent and warrant that: You are at least 21 years of age and are legally able to enter into a binding contract.

  6.  Identity Authentication

    You authorize us, directly or through third parties, to make any inquiries we consider necessary to validate your identity. This may include asking you for further information, requiring you to provide a biometric verification number (BVN), requiring you to take steps to confirm ownership of your email address or financial instruments, ordering a credit report, or verifying your Information against third party databases or through other sources.

  7.  Assignment

    You may not transfer or assign any rights or obligations you have under this Agreement without our prior written consent in its sole and absolute discretion. We reserve the right to transfer or assign this Agreement or any right or obligation under this Agreement at any time.

  8.  General Disclaimer

    The service is provided to you "as is," without any representation or warranty, express or implied, of any kind, including, but not limited to, warranties of merchantability, non-infringement, or fitness for any particular purpose. We do not warrant the accuracy or completeness of the service, the suitability of the content or the reliability of any advice, opinion, statement or other information displayed or distributed through the service.

    You acknowledge that any reliance on any such opinion, advice, statement, memorandum, or information shall be at your sole risk. We do not warrant that the functions contained in the materials will be uninterrupted or error-free, that defects will be corrected, or that this Site is free of viruses or other harmful components.

  9.  Communications and Notices to You

    By accepting these Terms of Use, you expressly consent to be contacted by us, our agents, representatives, affiliates, or anyone calling on our behalf for any and all purposes, at any telephone number, or physical or electronic address you provide or at which you may be reached. You agree we may contact you in any way, including SMS messages (including text messages), calls using pre-recorded messages or artificial voice, and calls and messages delivered using auto telephone dialling system or an automatic texting system. Automated messages may be played when the telephone is answered, whether by you or someone else. In the event that an agent or representative calls, he or she may also leave a message on your answering machine, voice mail, or send one via text.

    You agree that we may provide notice to you by posting it on our website or emailing it to the email address listed in your account. Such notice shall be considered to be received by you within 24 hours of the time it is posted to our website or emailed to you unless we receive notice that the email was not delivered. If the notice is sent by mail, we will consider it to have been received by you three Business Days after it is sent.

  10.  Consent to Electronic Transactions and Disclosures

    Because the FINT financial platform operates only on the Internet, whether you choose to participate on our platform as a borrower, investor or in any other manner, it is necessary for you to consent to transact business with us online and electronically. As part of doing business with us, we also need you to consent to our giving you certain disclosures electronically, either via our Site or to the email address you provide to us. By agreeing to the Terms of Use, you agree to receive electronically all documents, communications, notices, contracts, and agreements arising from or relating to your use of the Site and Service, including any loans you may request or receive, your registration as a borrower or investor on our Site, any loans you may fund, notes you have purchased, your use of this Service, and the servicing of your loan, if funded, as either a borrower or investor member of FINT.

  11.  Taxes

    The applicable tax laws in Nigeria as related to our BORROWERS and INVESTORS are Value Added Tax and Withholding Tax;

    Interests earned by INVESTORS are liable to 10% WHT on the INTEREST EARNED alone.

    BORROWERS are charged 5% VAT on service charges as applicable. We are obliged by the applicable laws to collect these taxes on behalf of the government and remit as at when due, failure of which attracts severe penalties. Where applicable, the WHT charged on INVESTORS’ interests may help reduce INVESTORS’ tax liability in the same year. We are not to be held responsible for advising, estimating, calculating and/or remitting any other appropriate taxes that apply to you in Nigeria and abroad outside of our transactions here.

    You agree to indemnify us to the full extent of applicable law in the event that any tax authority holds us responsible for any taxes directly or indirectly arising from your use of the site.

  12.  Suspension or Termination of Access

    We have the right to deny your access to, and suspend or terminate your access to, the Site for any reason, including for any violation by you of these Terms of Use.

  13.  Ownership of Site Content

    We own the intellectual property rights in the content and materials displayed on the Site. You may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Site unless explicitly authorised in these Terms of Use.

  14.  Copyright and Trademarks

    The Company name, the term “FINT”, “FINT Technology Ltd”, the FINT logo, and all related names, logos, product and service names, designs and slogans are copyright and trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company or as otherwise set out in these Terms of Use. All other names, logos, product and service names, designs and slogans on this Site are the trademarks of their respective owners.

  15.  Limitation of Damages

    To the extent permitted by applicable law, our liability to you for any cause whatsoever, regardless of the form of the action will not exceed ₦500,000. If the dispute is pertaining to a lending transaction, our liability to you shall not exceed the amount of the lending transaction or ₦500,000 whichever is lower

    Liability for death, personal injury or any loss arising from our negligence or our fraud or fraudulent misrepresentation is neither limited nor excluded.

    As permitted by applicable law, we exclude all conditions, warranties, representations or other terms which may apply to our Site or any content on it, whether express or implied. We will not be liable to any user for any loss or damage, even if foreseeable, arising under or in connection with the use of, or inability to use our site

  16.  Disclaimer

    We do not guarantee the accuracy of any User Content or Third Party Content. Although we provide rules for User conduct and postings, we do not control and are not responsible for what Users post on the Site and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on the Site or in connection with any User Content or Third Party Content. We are not responsible for the conduct, whether online or offline, of any User of the Site or Service.

    We cannot guarantee and does not promise any specific results from use of the Site and/or the Service to obtain a loan.

    The Site and the Service may be temporarily unavailable from time to time for maintenance or other reasons. We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, User communications. We are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or on the Site or combination thereof, including injury or damage to Users or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Service.

  17.  Dispute Resolution

    This Terms of Use shall be governed by the Laws of the Federal Republic of Nigeria. Any dispute arising out of this Agreement, which cannot be settled, by mutual agreement/negotiation within 30 days shall be referred to arbitration by a single arbitrator at the Lagos Court of Arbitration (“LCA”) and governed by the Arbitration and Conciliation Act, Cap A10, Laws of the Federal Republic of Nigeria. The arbitrator shall be appointed by the Parties, where Parties are unable to agree on the choice of an arbitrator, the choice of arbitration shall be referred to the LCA. The findings of the arbitrator and subsequent award shall be binding on the Parties and may be enforced through a Nigerian court of law. Each Party shall bear its cost in connection with the Arbitration.

  18.  Applicable Law and Jurisdiction

    These Terms of Use shall be interpreted and governed by the laws in force in the Federal Republic of Nigeria. The Parties submit to Arbitration and waive any objections based upon venue.

  19.  Waiver and Severability

    Our failure to enforce a provision of these Terms is not a waiver of its right to do so later. If any provision of these Terms is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term or terms will be substituted reflecting our intent as closely as possible.

This basic personal information includes:

    1.  Your name (member registration)
    2.  Your E-mail address (member registration)
    3.  Your date of birth (borrower/lender registration)
    4.  Your home address and telephone number (borrower/lender registration)
    5.  Your Bank Account Information (borrower/lender)

    Whenever you visit our website, our web servers automatically collect non-personal information such as the domain name of the Internet access provider, the Internet protocol address used to connect the computer to the Internet, the average time spent on our Website, pages viewed, information searched for, access times, and other relevant statistics.

  2.  Using Your Information

    When you register as a borrower, we will use this information to determine your riskworthiness as well as to help investors assess your loan request in the context of your overall financial situation. We will also use your required and optional information to facilitate activities and transactions that need to occur during online person-to-person lending, such as:

    1.  Generating borrower profiles on the site
    2.  Assigning you a borrower credit grade based on your credit history and financial circumstances
    3.  Enabling our financial services partners to implement automatic payments and fund transfers
    4.  Contacting you if there is a problem completing a transaction you requested or to discuss a problem with your account
    5.  Implementing collection activities as needed
    6.  Maintaining regular communications with you concerning transactions you initiate, such as requesting information or assistance, submitting a loan request, making payments, transferring funds, etc.
    7.  Allowing you to add new bank account information and save to your online profile

    When you register as an investor, we will request some required and optional data in order to facilitate such activities as:

    1.  Generating an investor profile on the site
    2.  Enabling our financial services partners to implement fund transfers and the receipt of borrower payments
    3.  Contacting you if there is a problem completing a transaction you requested or to discuss a problem with your account
    4.  Maintaining regular communications with you as may be necessary to execute transactions you request, such as submitting loan portfolios and transferring funds, etc.

    In addition, we gather names and e-mail addresses of people who contact us through our web site with questions about our company or lending/borrowing operations. We collect this information for the sole purpose of responding to such inquiries and do not store the contact information.

  3.  Disclosures Required by Law

    We may disclose Personally Identifiable Information if required to do so by law or in the good faith belief that such action is necessary to (a) conform with the requirements of the law or comply with legal process served on us, or (b) act in urgent circumstances to protect the personal safety of users of our Service or members of the public.

    To the extent practicable and legally permitted, we will attempt to advise you prior to any such disclosure, so that you may seek a protective order or other relief limiting such disclosure.

  4.  Communications From Our Site

Investment Disclosure

Short Selling Risk

Debt financing Investing isn't a get-rich-quick scheme. You're stuck with the loan for the term you committed to, which could be up to two years. Fees

  • Investor Service Charge

    This is the service charge on all investments on the FINT platform. It is calculated at 1.5% of investors returns.

  • Borrower Commitment Fee

    This is the fee on all loans on the FINT platform. It is calculated at 8% of the amount borrowed.

  • Borrower Risk Score

    This is the fee for obtaining a risk score. It is ₦1500.00 only

Investor Agreements

FINT is a product of FINT Technology Africa Ltd. FINT is provided by FINT Technology Africa (FINT).

  1.  INTRODUCTION
    1.  This agreement outlines the terms and conditions (the “Terms”) between you (a “Lender”, or “you”) FINT Technology Africa Ltd. (FINT, the “Company”, “we”, or “us”) under which you agree to lend money through the Company’s debt financing website (the “Platform”) to third party borrowers.
    2.  It is important that you read these Terms carefully. We strongly recommend that you seek independent financial and tax advice when considering whether to lend your money through the Platform.
    3.  We do not provide any advice, nor do we make any recommendations to you. The Company solely allows you to invest in loans applied for by Borrowers on the Platform. It is your responsibility to assess whether the Platform is suitable or appropriate for your needs and any decision made to use our Services is done so entirely at your own risk. Please be aware that execution of these Terms does not imply that we have confirmed that use of the Platform and our Services are suitable or appropriate for you. We advise you to consider whether lending through the Platform meets your required risk levels and investment objectives, and you should only commit such funds that you are able to financially bear the risk of losing considering your other financial commitments. By using the Platform, you confirm that you have the necessary experience and knowledge to understand the risks involved, or are able to take advice from a relevant qualified investment professional or advisor to assist you in understanding the risks involved.
    4.  You confirm your agreement to these Terms either by registering on our online application system or by signing a copy of these Terms. You should read these Terms carefully before making an online application or signing a copy of them and you should retain a copy for future reference.
    5.  By signing electronically below, you agree to the following terms together with the Terms of Use, consent to our privacy policy, agree to transact business with us and receive communications relating to the Agreement electronically.
  2.  LEGAL AND REGULATORY INFORMATION
    1.  FINT Technology Africa Ltd is a limited liability company registered in Nigeria (registration number RC 1315501) with its registered address at Ahmadu Bello Way, Union Bank Building 2nd floor, Victoria Island Lagos. The Company offers this service in conjunction with Bridgeway Microfinance Bank, a duly licenced microfinance bank regulated by the Central Bank of Nigeria.
    2.  FINT Technology Ltd is a technology solutions company which provides a range of online services including FINT, an online debt financing marketplace for borrowers to access credit more efficiently and cost-effectively; and for investors to earn competitive returns on their investment.
  3.  LENDER IDENTIFICATION
    1.  As part of the account opening process, you will be asked to provide personal information about yourself. The Company will use this information to verify your identity using a number of electronic checks.
    2.  You agree that we may pass your personal information to our Service Providers or any other recognised third party company solely for the purposes of verifying your identity, performing anti-money laundering checks and fraud prevention.
    3.  We do not have to accept you as a Lender or accept any funds from you until we have satisfied ourselves, at our absolute discretion, that we have sufficient and appropriate information to accept you as a Lender. We do not have to give you any reason for rejecting or delaying an application from you.
  4.  LENDER REPRESENTATIONS AND WARRANTIES

    Representations and warranties are statements and promises made by you to the Company, which we rely on as being accurate in our dealings with you. You make the following representations and warranties to us at the time of agreeing to these Terms and every time you use the Platform or Services, including the time you are matched to a Loan Agreement;

    1.  you are over the age of 21 years;
    2.  you are of sound mind and have the capacity to enter into these Terms and be matched to each Loan Agreement;
    3.  all personal information that you provide about yourself is accurate and true to the best of your knowledge;
    4.  you hold a bank account in Nigeria in your own name and will use this account to transfer money to our account when you loan money to a Borrower and to receive repayment of loans made;
    5.  you have carefully considered the risks involved with using the Platform, the Services and being matched to Loan Agreements and also the risks associated with debt financing, including but not limited to the possibility of losing all the money you lend;
    6.  you will only ever lend your own money unless you are authorised on behalf of a third party (“Third Party”) and we agree that you may act on behalf of that Third Party. We may request that you provide written authorisation from the Third Party confirming you have the necessary authority to deposit and lend money on their behalf;
    7.  if you are registering or accepting these Terms on behalf of a legal entity such as a company, trust or partnership, you are legally authorised to do so and we may request evidence of such legal entitlement (by way of a copy of any document which shows the valid and subsisting authorisation);
    8.  you (as an individual or a legal entity) have only registered as a Lender once with the Company, except where you have registered as a Lender in your personal capacity and have disclosed to us that you are seeking to register as a Lender on behalf of a separate legal entity or a Third Party; and
    9.  you are not breaching any laws or regulations that are applicable to you or any company, trust or partnership upon whose instructions you are acting.
  5.  RISK ACKNOWLEDGEMENT
    1.  You acknowledge and confirm that you have carefully considered the risks involved in lending your money through our Platform and that your participation in any Loan Agreement is entirely at your own risk.
    2.  You acknowledge that by making a Lending Commitment and being matched to Loan Agreements you are engaging in debt financing and that at no time do you, as Lender, lend money to the Company or any member of FINT Technology Africa Ltd.
    3.  You understand that you risk losing your money where a Borrower with whom you have been matched defaults on repayments or on payments of interest and the Company has no liability for any such loss and that you are not protected.
    4.  You acknowledge and confirm that you have made your own independent decision to make Lending Commitments and to be matched to Loan Agreements and that your decision is based on such information as you deem appropriate under the circumstances and is without reliance upon the Company or any member of FINT Technology Africa Ltd.
    5.  You acknowledge that, subject to these Terms, you will not be entitled to receive repayment of any money until the Borrower to whom you have lent money has made a repayment in accordance with the terms of the applicable Loan Agreement.
    6.  You also expressly agree and acknowledge that FINT shall not be liable for any loss that you may suffer (howsoever arising) as a result of your decision to make a Lending Commitment.
  6.  PROHIBITED ACTIVITIES

    You agree that you will not do the following, in connection with any loans, Notes, or other transactions involving or potentially involving us;

    1.  Represent yourself to any person, as a director, officer, employee or affiliated person of FINT;
    2.  Charge, or attempt to charge, any Borrower Member any fee in exchange for your agreement to purchase or recommend a Borrower Member's Member Loan listing, or propose or agree to accept any fee, bonus, additional interest, kickback or thing of value of any kind, in exchange for your agreement to purchase or recommend a Borrower Member's Member Loan listing;
    3.  Engage in any activities in connection with a Member Loan that require a license as a loan broker, credit services organization, credit counsellor, credit repair organization, lender or other regulated entity, including but not limited to soliciting loans or loan applications, quoting loan terms and rates and counselling Borrower Members on credit issues or loan options; or
    4.  Violate any applicable federal, state or local laws.
  7.  ACCESS AND USE
    1.  The Platform and Website is, at all times, subject to our Website Terms of Use.
    2.  Secure access to the Platform is provided by way of your username and password. These log-in credentials are unique to you and are the primary method of securely identifying you when delivering our Services to you. It is therefore extremely important that you keep your username and password secure at all times.
    3.  If you suspect that your secure access to the Platform has been compromised in any way, it is your responsibility to contact us.
    4.  You confirm that you will only use our Platform for the purposes set out in these Terms.
    5.  You confirm that you will not attempt to gain unauthorised access to the secure areas of the Website or Platform and furthermore you will not attempt to use code or software to manipulate or automate functions available on the Website.
    6.  You understand that we may store your IP address information and may monitor your use of the Website in accordance with our cookie policy.
    7.  Access to the Platform may be restricted at the discretion of the Company, particularly during periods of maintenance and updating.
    8.  We have the right not to act on your instructions including where we deem that your instruction was not sufficiently clear, or we could not verify your identity to our satisfaction, or the instruction was not made by you, or we believe that the instruction may be related to an illegal activity.
    9.  You are responsible for any telecommunication costs, broadband fees or data charges that you incur through your access to the Platform.
  8.  THE LENDING PROCESS
    1.  You acknowledge and confirm that, when you offer to lend money through the Platform, you will be offering your money to be lent to a Borrower through debt financing and you are not lending money to either the Company or any of its members.
    2.  We acknowledge that when a Borrower applies for a loan, a risk check is run on the Borrower through Xds credit bureau and our proprietary algorithm.
    3.  You lend money to a Borrower through this platform when a loan is put up on the FINT platform and you lend your desired amount.
    4.  You acknowledge that pending when a loan is disbursed to a Borrower, FINT may manage and invest funds in its custody, provided that the complete funds are made available at the time the loan is to be disbursed
    5.  You are not permitted to vary or cancel the terms of any Loan Agreement to which you are matched as a Lender.
    6.  You acknowledge that where we engage a debt collection agency on your behalf to recover a repayment for a defaulted loan from a borrower, fees for such recovery process shall be at your cost and will be deducted from the recovered repayment.
  9.  TERM AND TERMINATION
    1.  Except as otherwise terminated in accordance with the provisions below, these Terms shall commence on the date you register to open an account with the Company and shall remain valid and binding for as long as you have outstanding Loan Agreements.
    2.  These Terms may be superseded by any amended Terms.
    3.  These Terms may be terminated by you provided that you have no outstanding Loan Agreements. Notice of termination must be provided in writing to support@fint.ng
    4.  These Terms may be terminated by the Company at any time without notice.
  10.  CONFIDENTIALITY

    We offer anonymity to both Lenders and Borrowers. As a Lender, you will not be provided with the name or identity of the party to whom you have lent money. Similarly, your identity will not be revealed to a Borrower.

    You agree not to make attempts to establish the identity of, or contact, any of the Company’s Lenders or Borrowers

  11.  TAX

    The Company does not provide any advice or guidance in relation to tax or otherwise and therefore we strongly recommended that you consult an independent financial advisor or tax advisor if you are unsure as to what your tax obligations are.

    It is your responsibility to ensure that any tax liabilities which you incur (through interest earned on loans placed on the Platform or otherwise) are paid to the relevant taxation authority. We will not withhold any tax on your behalf except where required by law.

    Neither the Company nor any member of FINT Technology Africa Ltd. has any liability in relation to any tax liabilities incurred by you.

  12.  PRIVACY

    You confirm that you have read and understood the Company’s Privacy Policy which provides information on how we use and store the personal information that you provide to us and you further acknowledge that the Company may amend and update this policy from time to time.

  13.  INDEMNITY

    You agree that neither the Company nor its members have any obligation to reimburse or indemnify you for any cost, loss or liability which you incur as a result of the failure of any Borrower to perform its obligations under the Loan Agreement.

    You agree to indemnify and hold harmless the Company, any Lender or Borrower, any employee or director of a member of FINT Technology Africa Ltd, and all our other agents or sub-contractors, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred as a result of:

    1.  your fraudulent or illegal use of the Platform, the Services or the Website;
    2.  your negligence or any default by you of any of these Terms or the terms of any Loan Agreement to which you are matched;
    3.  any inaccurate or incomplete information that you have knowingly provided to us;
    4.  your allowing any other person to access your account either with your permission or as a result of your failure to keep your username and password private;
    5.  any service that you have offered, whether with or without our permission, to another third party using our Platform, Services or Website;
    6.  any moratorium, rescheduling, refinancing, suspension of payments or similar arrangement or circumstances applying to you and which restrict a Borrower’s ability to repay under a Loan Agreement;
    7.  any claim made against you for actual or alleged infringement of the Company’s Intellectual Property Rights or any actual or alleged infringement of a third party’s Intellectual Property Rights arising out of or in connection with the Services or your use of the Platform
  14.  DISPUTE RESOLUTION

    This Agreement shall be governed by the Laws of the Federal Republic of Nigeria. Any dispute arising out of this Agreement, which cannot be settled, by mutual agreement/negotiation within 30 days shall be referred to arbitration by a single arbitrator at the Lagos Court of Arbitration (“LCA”) and governed by the Arbitration and Conciliation Act, Cap A10, Laws of the Federal Republic of Nigeria.

    The arbitrator shall be appointed by the Parties, where Parties are unable to agree on the choice of an arbitrator, the choice of arbitration shall be referred to the LCA.

    The findings of the arbitrator and subsequent award shall be binding on the Parties and may be enforced through a Nigerian court of law. Each Party shall bear its cost in connection with the Arbitration.

  15.  APPLICABLE LAW

    This Agreement shall be interpreted and governed by the laws in force in the Federal Republic of Nigeria. The Parties submit to Arbitration and waive any objections based upon venue.

Borrower Agreements

FINT is a product by FINT Technology AFRICA Ltd.

This Borrower Agreement ("Agreement") is between you ("you" and "your" mean each and every borrower, including any joint applicant/co-borrower) and FINT Technology Africa Ltd (referred to as “FINT”, "Company," "us," "our," or "we"). This Agreement governs the process by which you may make a request or requests for a loan from us through the website https://www.fint.ng/ (the "Site"). When you make a loan request and that request results in a loan that is approved and issued by us, your loan will be governed by the terms of the Loan Agreement and Promissory Note, which is attached to this Agreement as Appendix A and as it may be revised from time to time. This Agreement will remain in effect for the applicable loan, and will terminate if your loan request is cancelled, withdrawn, or declined.


  1.  Loans

    When you make a request for a loan, you agree to receive and timely pay the loan that may be made in response to that request, subject to your right to cancel the request before confirming your application. Your agreement means you agree to repay the money provided by us to you and to abide by the terms of this Agreement and all other agreements or disclosures provided to you during the loan process and which may be found in your FINT account.

  2.  Loan Requests

    You may post a loan request on the Site. You may not post more than one loan request on the site at a time and you may not have more than two loans outstanding at any given time.

    When you post a loan request on the Site, FINT lenders ("Lenders") will be able to review your loan request. Lenders may commit to lend your loan. You acknowledge that a Lender's commitment to lend in all or a portion of your loan does not confer any rights to you or obligate us to approve your loan. You understand that Lenders have the discretion whether to lend to your loan or not. You also expressly agree and undertake that FINT will not be held liable for any loss that you may suffer as a result of our decision not to approve your loan.

    Not later than thirty (30) working days after your application is complete, we will tell you if your loan request is approved and will issue for some or all of your requested amount; or whether your loan request is declined, or if we are making you a counter-offer. Your loan request will be listed on our loan marketplace at least fourteen (14) working days from the date of your application, subject to Lender interest. It may take up to forty-five (45) working days to process and issue your loan.

    If at any point, you no longer want a loan under your pending loan request, you must immediately notify us in writing of your election to terminate your loan request sufficiently far in advance of the loan closing for us to cancel the loan.

  3.  Account Verification

    You understand that if we are unable to verify your bank account for any reason, we will cancel your application, your loan request will not be posted on the Site, and this Agreement will be terminated.

  4.  Loan Decisions

    Your loan request must include your annual income and such other information as we may require and obtain through the Site, by telephone, E-mail or any other viable means. You may include other sources of income in your application. We reserve the right to verify any information you submit by requiring you to produce appropriate documentation or other proof, and also reserve the right to conduct such verification through a third party. You hereby authorize us to request and obtain data from a third party to verify any information you provide to us in connection with your loan request. We may terminate the consideration of your application at any time in our sole discretion.

  5.   Making Your Loan Payments

    You authorize us and our agents, successors and assigns to debit your designated bank account for the amount of each payment due on each due date.

    This authorization does not affect your obligation to pay when due, all amounts payable on your loan, whether or not there are sufficient funds therefore in such bank accounts.

  6.  Other Borrowing Obligations

    You undertake that you shall not, in connection with your loan request: (i) make any false, misleading or deceptive statements or omissions of fact in your loan request; (ii) misrepresent your identity, or describe, present or portray yourself as a person other than yourself; (iii) give to or receive from, or offer or agree to give to or receive from any FINT member or other person any fee, bonus, additional interest, kickback or thing of value of any kind except in accordance with the terms of your loan; or (iv) represent yourself to any person, as a representative, employee, or agent of ours, or purport to speak to any person on our behalf.(v) You acknowledge and agree that we may rely without independent verification on the accuracy, authenticity, and completeness of all information you provide to us.

    You certify that you are a resident of Nigeria and the proceeds of the loan will not be used for funding any illegal activity.

  7.  Power of Attorney

    As a condition to receiving a loan from us, you hereby grant us a limited power of attorney and appoint us and/or our designees as your true and lawful attorney-in-fact and agent, with full power of substitution and re-substitution, for you and in your name, place and stead, in any and all capacities, to complete and execute the Loan Agreement and Promissory Note(s) in the form attached as Appendix A that reflect- the accepted terms set forth in each of your final truth in Lending Disclosure(s) as such may be posted from time to time in response to your loan request(s) in the on-line account you have established with FINT where documents are stored and with full power and authority to do and perform each and every act and thing requisite and necessary to be done in connection with such power as fully to all intents and purposes as you might or could do in person ("Power of Attorney" ). This Power of Attorney is limited solely to the purpose described above and will expire automatically upon the termination of this Borrower Agreement.

    You may revoke this Power of Attorney by contacting us at support@fint.ng and closing your account with us. However, if a loan request has been approved you must provide such notice before the loan proceeds are transferred to your designated account and before the Loan Agreement and Promissory Note is execsuted on your behalf. Once the Loan Agreement and Promissory Note is signed by FINT or its designee acting as your attorney-in-fact, it is deemed executed on your behalf and shall be your valid and binding obligation thereafter.

  8.  Loan Consummation

    YOU AGREE AND ACKNOWLEDGE THAT YOU ARE NOT OBLIGATED UNDER THE TERMS OF THE LOAN AGREEMENT AND PROMISSORY NOTE AND THE LOAN TRANSACTION WITH US IS NOT COMPLETED (I.E. CONSUMMATED) UNTIL YOUR ABILITY TO CANCEL YOUR LOAN APPLICATION HAS PASSED. YOU ACKNOWLEDGE THAT WE ARE MATERIALLY RELYING UPON THIS UNDERSTANDING IN UNDERTAKING THE POTENTIAL ISSUANCE OF YOUR LOAN.

  9.  Notices

    All notices and other communications to you hereunder may be given by email to your registered email address or posted on the Site, and shall be deemed to have been duly given and effective upon transmission. You acknowledge that you have control of such email account and your area on the Site and that communications from us may contain sensitive and confidential information. If your email address changes, you must notify us of the change by sending an email to support@fint.ng. You also agree to update your registered residence address and telephone number on the Site if they change.

  10.  Limitation on Liability

    To the extent permitted by applicable law, our liability to you for any cause whatsoever, regardless of the form of the action will not exceed ₦500,000. If the dispute is pertaining to a lending transaction, our liability to you shall not exceed the amount of the lending transaction or ₦500,000 whichever is lower.

  11.  No Warranties

    EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, WE MAKE NO REPRESENTATIONS OR WARRANTIES TO YOU, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

    WE DO NOT WARRANT OR GUARANTEE THAT YOUR LOAN REQUEST WILL BE FUNDED OR THAT YOU WILL RECEIVE A LOAN AS A RESULT OF POSTING A REQUEST.

  12.  Electronic Transactions

    This agreement is fully subject to your consent to electronic transactions and disclosures, which consent is set forth in the terms of use for the site.

  13.  Dispute Resolution

    2. file or have instituted against you any bankruptcy or insolvency proceedings or make any assignment for the benefit of creditors;
    3. die or are declared dead;
    4. commit fraud or make any material misrepresentation in this Agreement, or any other documents, applications or related materials delivered to us in connection with your loan; or
    5. fail to abide by the terms of this Agreement.

    Upon the occurrence of an Event of Default, we may exercise all remedies available to us under applicable law, this Agreement, the Loan Agreement and the Promissory Note, including without limitation, a demand that you immediately pay all amounts owed on your loan or terminate this Agreement. Any loan you obtain prior to the effective date of termination resulting from listings you placed on the Site shall remain in full force and effect in accordance with their terms.


APPENDIX A
Loan Agreement and Promissory Note

This Loan Agreement and Promissory Note between the Borrower (“you”) and the Lender or any holder of this Promissory Note (collectively referred to as the “Parties”) is agreed as at the date of the Lender accepting to grant the Borrower a loan which is on the _____________ of ____________201__. This Agreement applies only to the parties who have signed below on behalf of the parties.

For value received, I ("Borrower") promise to pay to the order of the Lender or any subsequent holder of this Promissory Note (the "Note") the principal sum of ________________ Naira with interest as set forth below. I intend to be legally bound by this Note. I have read, understood, and agreed to all of the terms of this Note.

  1.  Interest

    This Note bears interest during each calendar month from the date hereof until paid, at a fixed rate of ______ (%). Interest is calculated on a monthly basis upon the unpaid balance with each payment representing 1/12th of a year.

  2.  Payments

    Principal and interest is to be paid during and throughout the period of ________ months in the following manner:

    Payments of principal and interest in the amount of ________________ Naira are to be made by the Borrower to the Lender commencing _____________, 20__, and on the same day of each successive month thereafter until __________, 20__, when the full amount of unpaid principal, together with unpaid accrued interest is due and payable. If the monthly anniversary is on the 29th, 30th, or 31st of the month, and the following month does not have a 29th, 30th, or 31st day, the monthly payment will be due on the last day of the month in which the payment was due. The last payment might be of a slightly different amount to adjust for rounding.

    All payments on this Note are to be made in Naira. Borrower authorises FINT to debit Borrower's designated account for the amount of each payment due on each due date.

  3.  Prepayments and Partial Payments

    Borrower may make any payment early, in whole or in part, without penalty or premium at any time. Any partial prepayment is applied against the principal amount outstanding and does not postpone the due date of any subsequent monthly payment, unless expressly agreed to in writing.

    If Borrower prepays this Note in part, Borrower agrees to continue to make regularly scheduled payments until all amounts due under this Note are paid. Lender may accept late payments or partial payments, even though marked "paid in full", without losing any rights under this Note. Any regularly scheduled monthly instalment of principal and interest that is received by Lender before the date it is due shall be deemed to have been received on the due date solely for the purpose of calculating interest due.

  4.  Use of Funds

    Borrower certifies that the proceeds of the loan will not be used for the purposes of funding any illegal activity.

  5.  Default and Termination

    You will be deemed in default on your loan (each, an "Event of Default") if you:

    1. fail to pay timely any amount due on your loan;
    2. file or have instituted against you any bankruptcy or insolvency proceedings or make any assignment for the benefit of creditors;
    3. die or are declared dead;
    4. commit fraud or make any material misrepresentation in this Agreement, or any other documents, applications or related materials delivered to us in connection with your loan; or
    5. fail to abide by the terms of this Agreement.

    Upon the occurrence of an Event of Default, we may exercise all remedies available to us under applicable law, this Agreement, the Loan Agreement and the Promissory Note, including without limitation, a demand that you immediately pay all amounts owed on your loan or terminate this Agreement.   6.  Electronic Transactions

    THIS AGREEMENT IS FULLY SUBJECT TO BORROWER’S CONSENT TO ELECTRONIC TRANSACTIONS AND DISCLOSURES, WHICH CONSENT IS SET FORTH IN THE TERMS OF USE FOR THE SITE.

  7.  Applicable Law

    The provisions of this Note will be governed by laws of the Federal Republic of Nigeria. The unenforceability of any provision of this Note shall not affect the enforceability or validity of any other provision of this Note.


APPENDIX B
Borrower Credit Profile Authorization

By clicking the check box following this notice and continuing with the application process, you understand and agree that you are authorize Bridgeway Microfinance Bank, and FINT Technology Africa Ltd (both referred to as “we”, “us” and “our”) to obtain risk reports and related information about you from Xds Credit Bureau or any other risk reporting agencies.

You also authorize us to verify information in your application, and you agree that we may contact third parties to verify any such information. As and when appropriate, we may use your consumer reports to authenticate your identity, to make credit decisions.

You direct us to provide on your behalf certain elements of your application, as well as risk report information (but not including your name) to users of the https://www.fint.ng/ website who are registered as investor members ("Investor Members") for purposes of making decisions associated with your loan. You authorize us to obtain new risk reports and related information each time you request a loan, during the processing or closing of a loan to you, or at various times during the term of your loan in connection with the servicing, monitoring, collection or enforcement of the loan.

Payment for the risk assessment does not guarantee that you automatically qualify for a loan as it is only used as a method of assessing your risk for purposes of your loan approval.
